Terms of Service

1. Acceptance of Terms

By accessing or using the CarXit platform, website, mobile applications, and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and CarXit (“we,” “us,” or “our”).

2. Description of Service

CarXit is an online marketplace that connects private vehicle sellers with licensed automotive dealers. The Service enables sellers to submit vehicle information, receive competitive offers from multiple dealers, and complete vehicle sales. CarXit is a platform facilitator — we are not a party to any vehicle sale transaction between sellers and dealers.

3. Eligibility

You must meet the following requirements to use the Service:

  • Be at least 18 years of age.
  • Have the legal authority to sell the vehicle you list (you must be the titled owner or have written authorization from the titled owner).
  • Provide accurate, current, and complete information during registration and vehicle listing.
  • For dealer accounts: hold a valid, current automotive dealer license in the state(s) where you operate.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Vehicle Listings and Seller Obligations

5.1 Accuracy of Information

When listing a vehicle, you agree to provide truthful and accurate information including but not limited to: VIN, mileage, condition, accident history, mechanical issues, title status, and liens. Misrepresenting vehicle information may result in account termination and may expose you to legal liability.

5.2 Vehicle Photographs

You agree to submit photographs that accurately represent your vehicle's current condition. Photos must be of the actual vehicle being listed. Using stock photos, photos of a different vehicle, or digitally altered images is prohibited.

5.3 License to Use Vehicle Information

By submitting vehicle information, photographs, and related content to the Service, you grant CarXit a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, and distribute that content for the purposes of:

  • Operating the marketplace and facilitating your vehicle sale, including sharing vehicle details and photos with participating dealers.
  • Creating and publishing listings on third-party platforms through our ListAssist feature (if you opt in).
  • Improving our services, including training AI models for vehicle condition assessment and market valuation.
  • Marketing and promoting the Service (e.g., anonymized success stories, platform statistics). We will not use your personal identity in marketing without your separate consent.

This license continues for the duration of your listing and for a reasonable period after the listing is removed or the transaction is completed, to support record-keeping and dispute resolution. You may request deletion of your content as described in our Privacy Policy.

5.4 Title and Ownership

You represent and warrant that you are the legal owner of the vehicle or have authorization to sell it, that the vehicle has a clean and transferable title (or you have disclosed any title issues), and that there are no undisclosed liens or encumbrances.

6. Dealer Obligations

6.1 Licensing

Dealers must maintain a valid automotive dealer license throughout their use of the Service. Dealers must notify CarXit immediately if their license is suspended, revoked, or expires.

6.2 Offer Binding

Offers submitted through the Service are binding. Dealers may not withdraw or substantially reduce an offer after submission except based on documented discrepancies between the seller's listing and the actual vehicle condition discovered during in-person inspection. All deductions from an initial offer must be photographed, documented, and submitted through the platform.

6.3 Deduction Transparency

Dealers must photograph and provide a written explanation for every deduction from the initial offer. Deductions without documentation are not permitted. CarXit reserves the right to review deduction patterns and take action against dealers who demonstrate a pattern of unfair or unjustified deductions.

6.4 Off-Platform Transactions

Dealers may not solicit or complete transactions with sellers outside the CarXit platform for vehicles initially listed through CarXit. Circumventing the platform to avoid commission fees is a violation of these Terms and grounds for immediate termination.

7. Fees and Payments

7.1 Seller Fees

Listing a vehicle and receiving offers on CarXit is free for sellers. Sellers pay no platform fees or commissions.

7.2 Dealer Fees

Dealers pay a commission on completed transactions as specified in their dealer agreement. Commission rates and payment terms are set forth in the separate Dealer Services Agreement executed during dealer onboarding.

7.3 Payment Processing

Payments are processed through Stripe. By using the payment features of the Service, you also agree to Stripe's terms of service. CarXit is not responsible for errors or delays caused by the payment processor.

8. Competitive Bidding

When a seller rejects an initial offer, a competitive bidding window may open allowing other dealers to submit competing offers. All bids are binding. The original offering dealer may receive a final opportunity to match or exceed the highest competing bid. CarXit facilitates this process but does not guarantee any particular outcome, price, or number of competing offers.

9. AI-Powered Features

The Service uses artificial intelligence for onboarding assistance, vehicle condition assessment, market analysis, and chat moderation. You acknowledge that:

  • AI-generated assessments and valuations are estimates and should not be relied upon as guarantees of value or condition.
  • Voice interactions during AI-assisted onboarding are recorded and processed as described in our Privacy Policy.
  • AI features may occasionally produce inaccurate results. Final decisions about offers and transactions are made by the human parties involved.

10. ListAssist (External Listing Service)

CarXit may offer a ListAssist feature that publishes your vehicle listing on third-party marketplaces. By opting in to ListAssist:

  • You authorize CarXit to create and manage listings on your behalf on external platforms.
  • You acknowledge that third-party platforms have their own terms of service and privacy policies.
  • CarXit will remove external listings upon your request or when your vehicle is sold.
  • You remain responsible for responding to inquiries generated by external listings.

11. Prohibited Conduct

You agree not to:

  • Provide false or misleading vehicle information or identity information.
  • Manipulate the bidding process, including shill bidding or collusion.
  • Harass, threaten, or abuse other users.
  • Use the Service for any unlawful purpose, including selling stolen vehicles or laundering money.
  • Attempt to circumvent the platform to avoid fees.
  • Scrape, copy, or extract data from the Service by automated means.
  • Interfere with the operation or security of the Service.
  • Create multiple accounts to circumvent restrictions or bans.

12. Disclaimers

12.1 Platform Role

CarXit is a marketplace platform. We are not a dealer, broker, or auctioneer. We do not buy, sell, or take title to any vehicle. We do not guarantee the condition, legality, or fitness of any vehicle listed on the platform. We do not guarantee that any offer will be made or that any transaction will be completed.

12.2 No Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.3 Vehicle Transactions

CarXit is not responsible for the quality, safety, legality, or any other aspect of vehicles listed on the platform. Buyers and sellers are solely responsible for complying with all applicable laws regarding vehicle sales, title transfers, emissions requirements, and registration.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARXIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY TRANSACTION BETWEEN SELLERS AND DEALERS; (C) UNAUTHORIZED ACCESS TO YOUR DATA; OR (D) ANY THIRD-PARTY CONDUCT ON THE SERVICE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless CarXit, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any vehicle transaction you participate in through the Service.

15. Dispute Resolution

15.1 Between Users

CarXit may, at its discretion, assist in mediating disputes between sellers and dealers, but is not obligated to do so. Transaction records, including photos, messages, and offer history, are maintained on the platform and may be referenced in dispute resolution.

15.2 Between You and CarXit

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through informal negotiation. If informal negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Wisconsin. You agree to waive any right to a jury trial or to participate in a class action.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions.

17. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 5.3, 12, 13, 14, 15, and 16) will survive.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and revising the “Last updated” date. Continued use of the Service after changes constitutes acceptance. If you disagree with updated Terms, you must stop using the Service.
